Terms of Service

These Terms of Service form a legally binding agreement between you and Manta Finance LLC regarding your access to and use of Manta Finance.
1. Acceptance of These Terms
These Terms of Service govern your access to and use of the websites, applications, software, integrations, analytics, reports, artificial intelligence features, and related services provided by Manta Finance LLC (collectively, the “Services”).
By creating an account, accessing the Services, or using the Services on behalf of an organization, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Eligibility and Account Registration
2.1 Eligibility
You must be legally capable of entering into a binding agreement and authorized to use the Services on behalf of the applicable business or organization.
2.2 Account Information
You agree to provide accurate, current, and complete information when creating or administering an account and to keep that information updated.
2.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials, administrative passkeys, authentication methods, and account access. You are also responsible for all activity occurring through your account, except to the extent caused by Manta Finance’s breach of these Terms.
You must promptly notify us if you suspect unauthorized access, credential compromise, or another security incident involving your account.
2.4 Authorized Users
Customers are responsible for determining which employees, contractors, advisers, and other authorized users may access their account. Customers are responsible for assigning appropriate roles and permissions and for promptly removing access when it is no longer required.
3. The Services
Manta Finance provides financial intelligence, reporting, planning, data aggregation, reconciliation, forecasting, and decision-support tools for businesses.
The Services may connect to third-party platforms, including accounting systems, ecommerce platforms, payment processors, banking providers, advertising platforms, and uploaded files. Available functionality may depend on the integrations and data sources connected by the customer.
3.1 Service Changes
We may improve, modify, add, or remove features from time to time. We will use commercially reasonable efforts to avoid materially reducing core paid functionality during an active subscription term.
3.2 Beta and Preview Features
Certain features may be identified as beta, preview, early access, experimental, or otherwise not generally available. These features may be changed or discontinued at any time and may be provided with reduced support or additional limitations.
4. Financial Information and AI-Generated Outputs
4.1 Decision-Support Tool
The Services are designed to support business analysis and financial decision-making. They do not replace professional accounting, tax, legal, investment, audit, valuation, or other professional advice.
4.2 No Guarantee of Accuracy
Reports, calculations, forecasts, classifications, recommendations, narratives, and other outputs depend on the completeness, accuracy, timing, categorization, and availability of customer-provided and third-party data.
You are responsible for reviewing and validating outputs before relying on them for financial reporting, tax filings, audits, financing decisions, regulatory submissions, investor communications, or material business decisions.
4.3 Artificial Intelligence Features
Some Services may use artificial intelligence or automated reasoning to summarize information, identify trends, classify transactions, generate explanations, answer questions, or recommend areas for further review.
AI-generated outputs may be incomplete, inaccurate, outdated, or unsuitable for a particular purpose. You must independently evaluate AI-generated outputs and may not treat them as professional advice or as a substitute for human review.
4.4 Forecasts and Projections
Forecasts, projections, scenarios, and estimates are based on assumptions and historical information. Actual results may differ materially. Manta Finance does not guarantee future revenue, profitability, cash flow, performance, or business outcomes.
5. Customer Data
5.1 Ownership
As between you and Manta Finance, you retain all rights, title, and interest in data, records, files, content, and other information submitted to or connected with the Services by or on behalf of your organization (“Customer Data”).
5.2 Permission to Process Customer Data
You grant Manta Finance a limited right to host, copy, transmit, process, display, transform, and otherwise use Customer Data solely as necessary to provide, secure, maintain, support, and improve the Services and to comply with applicable law.
5.3 Customer Responsibilities
You represent that you have all rights, permissions, authorizations, and lawful bases required to provide Customer Data to Manta Finance and permit its processing through the Services.
- You are responsible for the accuracy and legality of Customer Data.
- You are responsible for maintaining appropriate source records and backups.
- You are responsible for configuring integrations and user permissions appropriately.
- You must not upload or connect data that you are not authorized to use.
5.4 Data Processing Agreement
Where Manta Finance processes personal information on behalf of a customer, that processing is also governed by the applicable Data Processing Agreement.
6. Third-Party Services and Integrations
The Services may allow you to connect to or exchange data with third-party products and services. Your use of those third-party services is governed by the separate terms and privacy policies of the applicable providers.
Manta Finance is not responsible for third-party services, their availability, their security, their data practices, or changes made by their providers.
You authorize Manta Finance to access and process information made available through integrations that you enable. You may disconnect an integration through the available account controls, subject to any retention obligations or technical limitations.
7. Acceptable Use
You must use the Services in accordance with these Terms, applicable law, and the Manta Finance Acceptable Use Policy.
- Do not access or use the Services for unlawful, fraudulent, deceptive, or abusive purposes.
- Do not attempt to gain unauthorized access to accounts, systems, networks, or data.
- Do not interfere with, disrupt, overload, reverse engineer, or circumvent the security or operation of the Services.
- Do not upload malicious code, harmful files, or content that infringes another party’s rights.
- Do not use the Services to develop or train a competing product through unauthorized extraction, scraping, or automated access.
- Do not share account credentials with unauthorized individuals.
8. Subscription Plans, Fees, and Payment
8.1 Subscription Fees
Paid Services are provided according to the pricing, subscription term, usage limits, and other commercial terms presented at checkout, in an order form, or in another written agreement between you and Manta Finance.
8.2 Billing Authorization
You authorize Manta Finance and its payment processors to charge the applicable fees, taxes, and other amounts using your selected payment method.
8.3 Taxes
Fees exclude applicable sales, use, value-added, withholding, and similar taxes unless stated otherwise. You are responsible for taxes associated with your purchase, except taxes based on Manta Finance’s net income.
8.4 Renewals
Unless otherwise stated in an applicable order form or subscription agreement, subscriptions may automatically renew for successive periods until cancelled in accordance with the applicable cancellation terms.
8.5 Refunds
Except where required by law or expressly stated in writing, fees are non-refundable and payment obligations are non-cancellable.
9. Intellectual Property
9.1 Manta Finance Property
Manta Finance and its licensors retain all rights, title, and interest in the Services, including the software, designs, interfaces, documentation, models, workflows, algorithms, reports, templates, trademarks, and other underlying technology, excluding Customer Data.
9.2 Limited License
Subject to your compliance with these Terms and payment of applicable fees, Manta Finance grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription term for your internal business purposes.
9.3 Feedback
If you provide suggestions, ideas, or other feedback about the Services, you grant Manta Finance a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided that we do not identify you publicly without permission.
10. Confidentiality
Each party may receive non-public business, technical, financial, security, or commercial information from the other party. The receiving party will protect confidential information using reasonable care and will use it only as necessary to perform under these Terms.
Confidentiality obligations do not apply to information that is publicly available through no breach, independently developed without use of the other party’s confidential information, lawfully received from a third party without restriction, or required to be disclosed by law.
11. Security and Availability
Manta Finance will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data and the Services.
You acknowledge that no online service can guarantee uninterrupted availability or absolute security. The Services may be temporarily unavailable because of maintenance, updates, provider outages, internet conditions, emergencies, or circumstances outside our reasonable control.
12. Suspension
We may suspend access to all or part of the Services when reasonably necessary to address a security threat, suspected unauthorized activity, violation of these Terms, legal requirement, overdue payment, or material risk to Manta Finance, its customers, or third parties.
Where reasonably practicable, we will provide notice of a suspension and work with you to restore access after the underlying issue has been resolved.
13. Termination
13.1 Termination by You
You may stop using the Services at any time. Cancellation and termination of a paid subscription remain subject to the applicable order form, billing terms, and subscription commitment.
13.2 Termination by Manta Finance
We may terminate these Terms or your access to the Services if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, or immediately where the breach cannot reasonably be cured, creates a security risk, or involves unlawful activity.
13.3 Effect of Termination
Upon termination, your right to access the Services will end. Provisions that by their nature should survive termination will remain in effect, including provisions concerning payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute resolution.
13.4 Data Export and Deletion
Data export availability and deletion timelines may depend on your plan, applicable agreement, technical capabilities, legal obligations, and the Manta Finance Data Processing Agreement. Customers should export required records before account termination.
14. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
Manta Finance disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and results.
Manta Finance does not warrant that the Services will be uninterrupted, error-free, completely secure, or compatible with every third-party system, or that every error or data discrepancy will be identified or corrected.
15. Limitation of Liability
To the maximum extent permitted by law, neither Manta Finance nor its affiliates, officers, employees, contractors, licensors, or service providers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings.
To the maximum extent permitted by law, Manta Finance’s aggregate liability arising out of or relating to the Services or these Terms will not exceed the amounts paid or payable by the applicable customer to Manta Finance for the Services during the twelve months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the legal theory and even if a party was advised that damages were possible. Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Manta Finance and its affiliates, officers, employees, and contractors from claims, damages, liabilities, losses, and expenses arising from your Customer Data, your misuse of the Services, your violation of these Terms, your violation of applicable law, or your infringement of another party’s rights.
17. Governing Law and Disputes
These Terms will be governed by the laws specified in the applicable order form or other written agreement between you and Manta Finance.
If no separate agreement specifies governing law and venue, these Terms will be governed by the laws applicable to Manta Finance LLC’s principal place of business, without regard to conflict-of-law rules, and disputes will be resolved in the courts having jurisdiction over that location.
Before commencing formal proceedings, each party agrees to make a good-faith effort to resolve the dispute through direct discussions between authorized representatives.
18. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will post the revised Terms and update the date shown at the top of this page.
If a change materially affects your rights or obligations, we may provide additional notice through the Services, by email, or through another reasonable method. Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms.
19. General Terms
- These Terms, together with any applicable order form, Data Processing Agreement, Acceptable Use Policy, Privacy Policy, and other incorporated documents, form the entire agreement regarding the Services.
- If there is a conflict between these Terms and a signed order form or other written agreement, the signed agreement will control to the extent of the conflict.
- You may not assign these Terms without Manta Finance’s prior written consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets.
- Manta Finance may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- Failure to enforce a provision is not a waiver of that provision.
- If any provision is found unenforceable, the remaining provisions will remain in effect.
- The headings in these Terms are provided for convenience only.
